GNSO Election of ICANN Board seats 13 and 14 in February - May 2003

Summary

The GNSO Council is in the process of selecting two individuals to serve on ICANN's Board of Directors. These two Directors will serve terms beginning at in mid-2003 (probably the ICANN Montreal meeting in June). One Director (in "Seat 13") will serve until the second quarter of 2004 and the other (in "Seat 14") will serve until the second quarter of 2005.

The process for selection will occur first for Seat 14 and then for Seat 13. In each case, there will be a two-week period for nominations followed by a voting process. Nominations may be made by any GNSO Council member. (Others should communicate their suggestions to GNSO Council members.) Voting will be by initially secret (later disclosed) e-mail voting of GNSO Council members. The e-mail voting will then be ratified at a subsequent meeting of the GNSO Council.

The result of the selection process for Seat 14 is scheduled to be completed on March 25, 2003, and the result for Seat 13 is scheduled to be completed on April 17, 2003. A full record of the voting will be posted after the Seat 13 process is completed.

First Call for nominations by members of the GNSO Council

6. The GNSO Council shall make selections to fill Seats 13 and 14 on the ICANN Board by written ballot or by action at a meeting; any such selection must have affirmative votes comprising a majority of the votes of all the members of the GNSO Council. Notification of the GNSO Council's selections shall be given by the GNSO Chair in writing to the ICANN Secretary, consistent with Article VI, Sections 8(4) and 12(1).

GNSO Council members are defined in Article X, Section 3 GNSO COUNCIL below in:

1. Subject to the provisions of the Transition Article of these Bylaws, the GNSO Council shall consist of two representatives selected by each of the Constituencies described in Section 5 of this Article, and three persons selected by the ICANN Nominating Committee. There may also be two liaisons to the GNSO Council, one appointed by each of the Governmental Advisory Committee and the At-Large Advisory Committee from time to time, who shall not be members of or entitled to vote on the GNSO Council, but otherwise shall be entitled to participate on equal footing with members of the GNSO Council.

Suggestions for nominations by other persons, non Council members, can be forwarded to any Council member.

3. In carrying out their responsibilities to fill Seats 9 through 14, the Supporting Organizations shall seek to ensure that the ICANN Board is composed of members that in the aggregate display diversity in geography, culture, skills, experience, and perspective, by applying the criteria set forth in Section 3 of this Article. At any given time, no two Directors selected by a Supporting Organization shall be citizens of the same country or of countries located in the same Geographic Region.

Each nomination must be accompanied by a brief description of how the candidate meets the following selection criteria.

Article VI, Section 3 CRITERIA FOR SELECTION OF DIRECTORS

Directors shall be:

  1. Accomplished persons of integrity, objectivity, and intelligence, with reputations for sound judgment and open minds, and a demonstrated capacity for thoughtful group decision-making;

  2. Persons with an understanding of ICANN's mission and the potential impact of ICANN decisions on the global Internet community, and committed to the success of ICANN;

  3. Persons who will produce the broadest cultural and geographic diversity on the Board consistent with meeting the other criteria set forth in this Section;

  4. Persons who, in the aggregate, have personal familiarity with the operation of gTLD registries and registrars; with ccTLD registries; with IP address registries; with Internet technical standards and protocols; with policy-development procedures, legal traditions, and the public interest; and with the broad range of business, individual, academic, and non-commercial users of the Internet;

  5. Persons who are willing to serve as volunteers, without compensation other than the reimbursement of certain expenses; and

  6. Persons who are able to work and communicate in written and spoken English.

Article VI, Section 4 ADDITIONAL QUALIFICATIONS

1. Notwithstanding anything herein to the contrary, no official of a national government or a multinational entity established by treaty or other agreement between national governments may serve as a Director. As used herein, the term "official" means a person (i) who holds an elective governmental office or (ii) who is employed by such government or multinational entity and whose primary function with such government or entity is to develop or influence governmental or public policies.

2. No person who serves in any capacity (including as a liaison) on any Supporting Organization Council shall simultaneously serve as a Director or liaison to the Board. If such a person accepts a nomination to be considered for selection by the Supporting Organization Council to be a Director, the person shall not, following such nomination, participate in any discussion of, or vote by, the Supporting Organization Council relating to the selection of Directors by the Council, until the Council has selected the full complement of Directors it is responsible for selecting. In the event that a person serving in any capacity on a Supporting Organization Council accepts a nomination to be considered for selection as a Director, the constituency group or other entity that selected the person may select a replacement for purposes of the Council's selection process.(quoted from "http://www.icann.org/general/archive-bylaws/bylaws-25mar03.htm#VI")

Procedure and timeline for voting by the GNSO Council to select the ICANN Board Director

The number of votes by the Constituencies is defined in Article X, Section 5 Constituencies below in:
http://www.icann.org/general/archive-bylaws/bylaws-15dec02.htm#X-5.

2. The number of votes that members of the GNSO Council may cast shall be equalized so that the aggregate number of votes of representatives selected by the Constituencies (currently the gTLD Registries and Registrars) that are under contract with ICANN obligating them to implement ICANN-adopted policies is equal to the number of votes of representatives selected by other Constituencies. Initially, each member of the GNSO Council selected by the gTLD Registries Constituency or the Registrars Constituency shall be entitled to cast two votes and all other members (including those selected by the Nominating Committee) shall be entitled to cast one vote. In the event that there is a change in the Constituencies that are entitled to select voting members of the Names Council, the Board shall review the change in circumstances and by resolution revise the procedure for equalization of votes in a manner consistent with this paragraph 2.

The GNSO Council will vote by e-mail between March 6 and March 20, 2003
