Other factors.

It must achieve a significant level of continuing
fiscal transparency and accountability.  In other
words, its books must be fully open.  At present,
ICANN is a fiscal black box.  There is no public
ability to know where money has come from, and
where it is going, and for what purpose except at
almost irrelevant gross levels.

Any assessed fees must be cost-based to cover the
expenses incurred for actually providing the
particular service for a customer.  Monies accumulated
from one funding vehicle should not be sloshing
around in a pool.

A completely independent audit committee.

Non-profits are notorious fiscal abusers - especially
when they are living high off of fixed revenue streams
out of other people's pockets.
