The board has a fiduciary duty with respect to the filling of those
elected seats.  Excuses about mechanics will not relieve any board
member of that fiduciary duty.

There is no excuse for the board permitting ICANN to not follow the
MoU or its bylaws.

Directors are responsible for oversight and all actions of the
corporation -- the buck stops there; not with staff.
