Paul,
your proposed wording on proxies looks good, if a tad long!

There may be something to learn from other organisations. The International
Public Relations Association uses the following wording for their Council:

"Proxies may be granted by one member of the Council to another member of
the Council to speak or vote on his/her behalf on questions to be considered
by the Council, provided that the name of the proxy appointed under this
article shall be notified to the Secretariat of the Association before the
meeting for which he/she is nominated to act. The Council member who is to
hold the proxy shall be notified in advance of the notice given to the
Secretary General. No Council member shall hold more than three proxies."

So, specifying what the Proxy is for may be useful - i.e. speaking: voting
on issues : voting in an election
And specifying a maximum of three may be practical too.

Under the incommunicado proposal you rightly try to specify a length of time
that means incommunicado and suggest 4 weeks. Given we have a target of
monthly NC meetings, a 4 week period is likely to mean one NC meeting will
be missed. Was this the intent ? It is difficult to avoid this as it is a
function of the time gap between the start of being incommunicado and the
date of the NC meeting.
