The rules are simple;

Don't do it.  Unless someone changes the rules they should not do it.
There is nothing for a Rep to discuss.

Right now there is absolutely no business reason for Verisign to honor contracts with ICANN.
What the hell are they going to do about a breach of contract?  They certainly are in no position to enforce a contract through the courts.  If Verisign stopped paying them today, there is not a thing ICANN could do about it except whine.  As a matter of fact Verisign may well find liability in giving ICANN any money.

I do not even think there are grounds for the DoC to enforce the third party beneficiary contract with Verisign because they have not enforced their own contracts dealing with ICANN.  Repeatedly not doing the right thing leads to a course of conduct and business dealing scenario that is a quagmire.

By Lynn's statements and by ICANN's lack of conduct they are virtually dead meat.  Vint has only added to that problem this weekend with weak and poorly worded public comments, I can almost feel sorry for Louis.
